TuksLaw lecturer author of 'The New Derivative Action under the Companies Act - Guidelines for Judicial Discretion'

The Faculty of Law of the University of Pretoria is proud to announce that a staff member in our Department of Mercantile Law, Professor Maleka Femida Cassim, has recently published a scholarly book in the Field of Company Law, titled 'The New Derivative Action under the Companies Act - Guidelines for Judicial Discretion'.

The book discusses the protection of minority shareholders under the new Companies Act of 2008. This is pivotal to a sophisticated system of corporate law. The focus of the book is on the new derivative action, which is a paramount protective measure or weapon for minority shareholders that will be very useful in good corporate governance and in policing boards of directors and deterring directorial wrongdoing.

The book also discusses the shareholders’ remedy for relief from oppressive or prejudicial conduct, taking into account the numerous recent decisions of the courts on the new oppression remedy.

This work is of interest and benefit to corporate legal practitioners, the judiciary, academics and legal researchers.
